Eligibility

Vivint LLC. (“Sponsor”) will conduct the Taylor Hendricks Signed Jersey Giveaway (the “Giveaway”) substantially as described in these Taylor Hendricks Signed Jersey Official Rules (the “Official Rules”). By participating in the Giveaway, as outlined below, any participant (an “Entrant,” “You” or “Your”) agrees to be fully and unconditionally bound by these Official Rules. The Giveaway is open to legal residents of the United States who submit qualifying entries on Instagram, as detailed in Section 5 below. Entrants must be 18 years of age as of their date of entry in the Giveaway in order to qualify. Employees of Sponsor that are involved in any way in administering or overseeing the Giveaway are ineligible to win any Prize. The Giveaway is subject to federal, state, and local laws and regulations and is void where prohibited by law. Sponsor reserves the right to disqualify any Entrant at any time for any reason. Entrants must NOT comment with, link to, or submit to Sponsor any material that is violent, sexually explicit, obscene, pornographic, discriminatory (based on race, sex, religion, natural origin, physical disability, sexual orientation or age), illegal (e.g. underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, profane, or harassing or which is otherwise inappropriate.  

Sponsorship

The Giveaway is sponsored by Vivint LLC, 3401 N. Ashton Blvd., Lehi UT 84043. Sponsor will conduct the Giveaway substantially as described in these Official Rules. By participating in the Giveaway, you acknowledge and understand that the Giveaway is in no way sponsored, endorsed, or administered by, or in any way associated with endorsed, or administered by, or associated with, Instagram, Facebook, TikTok, YouTube, X, or any other platform.

Agreement to Rules

By entering this Giveaway, You agree to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. Sponsor reserves the right to refuse, withdraw, or disqualify any entry (or Entrant) at any time at Sponsor’s sole discretion. By entering this Giveaway, You represent and warrant that You are eligible to participate based on the eligibility requirements set forth in these the Official Rules. You also agree to accept the decisions of the Sponsor as final and binding as it relates to the winner(s) of the Giveaway.

Giveaway Entry Period

The Giveaway entry period will begin on November 24, 2025 at 10:00 a.m. MDT and end on April 12, 2026, at 10:00 a.m. MDT (“Entry Period”). To be eligible for the Giveaway, all entries must be received within the specified Entry Period. 

Giveaway Kickoff Post

Sponsor will begin the Phase 1 Entry Period by publishing a kickoff post announcing the Giveaway on the official @Vivint social media accounts (hereafter, the “Giveaway Kickoff Post”). The Giveaway Kickoff Post will be published November 24–26, 2025. 

How to Enter

Each Entrant meeting the eligibility requirements set forth in these Official Rules may submit a Giveaway entry by fully completing the Nomination Form linked here. Each entry that is submitted during the Entry Period and meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6, will constitute an “Eligible Entry.” Only Eligible Entries will be eligible to win a Prize. Incomplete entries or those that, at the Sponsor’s sole discretion, do not adhere to the Official Rules will be disqualified. No purchase is necessary to win a Prize. Making a purchase will not improve an Entrant’s chance of winning. 

Prizes

Sponsor will randomly select one (1) winner of the Giveaway (the Winner”) by following the process set forth in Section 8 below. The Winner will receive a Utah Jazz basketball jersey signed by Utah Jazz player, Taylor Hendricks (the “Prize”). The Prize is non-transferable. The Winner shall be solely responsible for all expenses related to the Prize, including without limitation any and all local, state, and federal taxes. The Winner shall not be entitled to a cash equivalent or other Prize substitution. In exchange for acceptance of a Prize, the Winner grants permission for the Sponsor to use that person’s likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law. 

Odds

The total number of eligible entries received by Vivint will determine the odds of winning.

Selection of Winners

At the conclusion of the Giveaway, the Sponsor will randomly select one (1) Winner via the following process: (i) Sponsor will review all comments on the Giveaway Kickoff Post submitted during the Entry Period and create a pool consisting of all Eligible Entries. (ii) After creating the pool of Eligible Entries, Sponsor will assign each Eligible Entry a different, sequential number and use a random number generator to select one (1) winning Entry from the pool. (iii) Sponsor will review the randomly selected winning Entries and confirm that the Winner meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6. 

Notification and Announcement of Winners

The Sponsor will notify Winner via email (sent by Sponsor to the email address of the Winner as provided in the Winner’s winning Giveaway Kickoff Post entry) no later than April 30, 2026 at 5:00 p.m. MDT and/or via email to the email address provided by the Entrant no later than May 8, 2026 at 12:00 p.m. MDT. The Sponsor is not responsible for and shall have no liability for any Winner’s failure to receive any such notice due to the Winner’s failure to check their email inbox in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for any Winner’s provision of incorrect or otherwise non-functioning contact information. If any Winner is found to be ineligible to win a Prize based on their age or any violation of these Official Rules as determined solely and exclusively by Sponsor, the Winner’s Prize may be forfeited and an alternate Winner may be selected. Receipt of the Prize by each Winner is conditioned upon the compliance by the Entrant and the Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. IF ANY WINNER OR ENTRANT VIOLATES ANY OF THESE OFFICIAL RULES, OR ANY FEDERAL, STATE OR LOCAL LAW(S) OR REGULATION(S), THAT WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. At the conclusion of the Giveaway, Sponsor will publicly announce the Winner by posting the winning nomination on Vivint’s social media accounts. 

Rights Granted by You

By submitting one or more entries into this Giveaway, You understand and agree that the Sponsor, any individual acting on the Sponsor’s behalf, and the licensees, successors, and assigns of the Sponsor shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, Your submission, Your Instagram handle, Your name, Your photo, portrait, likeness, image, statements about the Giveaway, and biographical information provided by You for publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration to you. You represent and warrant that any content, including but not limited to Your name, photograph, and/or comment(s) on Vivint’s Giveaway Kickoff post, submitted by You to Vivint in connection with the Giveaway belongs to You and that You have the legal right to share it with Sponsor. All content submitted by You must belong to You and must not violate the privacy, proprietary or intellectual property rights of any third party, or any other law, code, or regulation. You shall defend, indemnify and hold harmless Sponsor in connection with any claims that arise as a result of Your submission of Your Giveaway entry (or entries), including but not limited to any claim(s) related to an allegation that any Giveaway entry submitted by You violates the privacy, proprietary or intellectual property rights of any third party, at Your sole expense. 

Terms & Conditions

In its sole discretion, Sponsor reserves the right to modify, suspend, cancel, or terminate the Giveaway should non-authorized human intervention, a bug or virus, fraud, or other causes beyond Sponsor’s control, impact or corrupt the security, fairness, proper conduct, or administration of the Giveaway. Sponsor, in the event of any of the above issues, may determine the Winner based on all eligible entries received prior to and/or after (if appropriate) one of the issues listed above, or may, at its option, cancel the Giveaway. Individuals who tamper with or attempt to tamper with the operation or entry process of the Giveaway or Vivint’s official Instagram page or otherwise violate these Official Rules will be disqualified by the Sponsor in its sole discretion. Sponsor has the right to void Giveaway submissions or entries for any reason, including, but not limited to: the use of bots, macros, scripts, or other technical means for submitting entries. Attempts by any entrant to deliberately damage any website or undermine the legitimate operation of the Giveaway may be a violation of criminal and civil laws. If any such attempt is made, the Sponsor reserves the right to seek damages to the fullest extent permitted by law.

Limitation of Liability and Release

Your entry into this Giveaway constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Giveaway and/or the (1) Winner accepting, possessing, using, or misusing any awarded prize or any portion thereof; (2) any type of technical failure related to the Giveaway; (3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; (4) unauthorized intervention in any part of the entry process or the Giveaway; and/or (5) electronic error or human error in the administration of the Giveaway or the processing of entries. You also agree to release and hold harmless Instagram, its subsidiaries, representatives, affiliates, partners, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages related in any way to the Giveaway. 

Compliance with the Law

The Giveaway is governed by the applicable laws of the United States of America and the local or state jurisdictions in which the Giveaway is eligible, which take precedence over any rule to the contrary herein. Sponsor reserves the right to modify or discontinue the Giveaway to the extent any part of the Giveaway is determined to violate any law, statute, ordinance, or regulation.  

Disputes

The laws of the State of Utah, excluding the rules of conflicts of law, shall govern this and all matters arising out of or related to this Giveaway. All parties to this agreement, including both the Winners and any non-winning Entrants, hereby submit to the jurisdiction of the state or federal courts located in Utah County, Utah. Each party to these Official Rules expressly agrees that it is subject to the jurisdiction and venue of those courts for purposes of such litigation. Each party hereby waives and covenants not to assert any claim that is not subject to personal jurisdiction in those courts or that venue in those courts is for any reason improper, inconvenient, prejudicial or otherwise inappropriate (including, without limitation, any claim under the judicial doctrine of forum non conveniens).

Vivint, Inc. (“Sponsor”) will conduct the Promotion substantially as described in these Vivint “$1,000 Moment” Contest Official Rules (the “Official Rules”). The Promotion is open to current Vivint customers in good standing who are legal residents of the United States and who submit Contest entries to Sponsor as detailed in Section 6 below. The Promotion is subject to federal, state, and local laws and regulations and is void where prohibited by law. Sponsor reserves the right to disqualify any Entrant at any time for any reason. By participating in the Promotion, you acknowledge and understand that the Promotion is in no way sponsored, endorsed, or administered by, or in any way associated with, Instagram, Facebook, Twitter/X, YouTube, or TikTok.

Agreement to Rules

By entering this Promotion, you agree to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. Sponsor reserves the right to refuse, withdraw, or disqualify any entry (or Entrant) at any time at Sponsor’s sole discretion. By entering this Promotion, You represent and warrant that You are eligible to participate based on the eligibility requirements set forth in these the Official Rules. You also agree to accept the decisions of the Sponsor as final and binding as it relates to the winner(s) of the Promotion.

Promotion Term and Entry Periods

The Promotion will run on a monthly basis from February 1, 2024 through December 31, 2026. Each calendar month during the year 2025 will be considered a separate Entry Period. At the conclusion of each calendar month, Vivint will select one (1) Winner from the pool of eligible Entries received during that month.

Promotion Kickoff Post

Vivint will begin the Promotion by publishing a post on the official @Vivint social media accounts on Instagram, Facebook, Twitter/X, YouTube, and Tiktok announcing the Promotion (collectively, the “Promotion Kickoff Post”). The Promotion Kickoff Post will be published on or around February 1, 2025.

How to Enter

Each Entrant meeting the eligibility requirements set forth in these Official Rules may submit one or more Promotion entries via the entry form submission page hosted on www.vivint.com/caught-on-vivint to submit an authentic video caught on their Vivint camera(s) (hereafter, the “User Content”). Each entry that is submitted during the Entry Period and meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6, will constitute an “Eligible Entry.” Only Eligible Entries will be eligible to win a Prize. Incomplete entries or those that, at the Sponsor’s sole discretion, do not adhere to the Official Rules will be disqualified. No purchase is necessary to win a Prize. Making a purchase will not improve an Entrant’s chance of winning.

Prizes

Sponsor will select one winner of the Promotion (each a “Winner,” and collectively, the “Winners”) following each monthly Entry Period. Within a reasonable time following selection, Sponsor will announce the Winners on the official @Vivint social media accounts. Each Winner will receive a $1,000 Vivint credit to their Vivint account (a “Prize”). Prizes are non-transferable. Each Winner, upon acceptance of a Prize, is solely responsible for all expenses related to that Prize, including without limitation any and all local, state, and federal taxes. Winners shall not be entitled to transfer or assign any Prize to another, nor shall any Winner be entitled to a cash equivalent or other Prize substitution.

Selection

At the conclusion of each Entry Period, the Sponsor will randomly select one (1) Winner from the pool of eligible Entrants via the following process: (i) Sponsor will review all Eligible Entries submitted during the Entry Period, exclude entries that do not meet all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6, and group all remaining Eligible Entries into a pool. (ii) One or more of Sponsor’s employees involved in administering and overseeing the Promotion will select a Winner from the pool based on purely subjective criteria, including without limitation whether the Winner’s entry is particularly unique, humorous, surprising, relatable, or heartwarming. All selections will be made at Sponsor’s sole discretion, and Sponsor’s decisions are not subject to appeal.

Notification of Winners

The Sponsor will notify each Winner via the email address and/or telephone number provided by the Winner in conjunction with their entry form submission within a reasonable time period following the selection of the Winner. The Sponsor is not responsible for and shall have no liability for any Winner’s failure to receive any such notice due to the Winner’s failure to check their email or phone in a timely fashion, any privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for any Winner’s provision of incorrect or otherwise non-functioning contact information. If any Winner (1) fails to claim a Prize within 48 hours after receiving Sponsor’s award notification, or (2) is found to be ineligible to win a Prize based on their age, state of residency, not being a Vivint customer in good standing, or any violation of these Official Rules as determined solely and exclusively by Sponsor, that Winner’s Prize may be forfeited, and an alternate Winner may be selected. Receipt of the Prize by the Winner is conditioned upon the compliance by Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. IF ANY WINNER VIOLATES ANY OF THESE OFFICIAL RULES, OR ANY FEDERAL, STATE OR LOCAL LAW(S) OR REGULATION(S), THAT WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

User Content License

By submitting one or more entries in connection with this Promotion, you expressly grant Sponsor a non-exclusive, royalty-free, perpetual, and irrevocable license and right (hereafter, the “License”) to use, reproduce, modify, publish, distribute, publicly display, and create derivative works (including advertisements) from your User Content for any legal purpose in any form of media, including without limitation social media websites such as YouTube, Facebook, Instagram, and TikTok. Unless separately agreed to in writing with Vivint, you waive any right to compensation for Vivint’s use of your User Content as provided in these Official Rules. By posting User Content that contains images, photographs, videos, audio recordings, or other depictions of a person or persons (collectively their "Likenesses”), you represent that all persons whose Likenesses are depicted in such User Content (or, where applicable, the parent(s) or legal guardian(s) of any minors whose Likenesses are depicted in the User Content) have provided consent for you to submit the User Content depicting their Likenesses and have consented to the distribution, public display, modification, and commercial use of their Likenesses in the User Content pursuant to these Official Rules. You expressly agree that you will not submit any User Content that (i) is defamatory, abusive, threatening, obscene, misleading, objectionable, or otherwise violates the legal rights of others; (ii) contains any content protected by intellectual property laws; or (iv) contains viruses, corrupted files, or any other software or programs that may damage another individual’s computer or collect information from others without their consent.

Indemnification

YOU ACKNOWLEDGE AND UNDERSTAND THAT YOU BEAR FULL RESPONSIBILITY FOR ANY USER CONTENT YOU SUBMIT TO SPONSOR AND HEREBY AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WILL DEFEND, INDEMNIFY, AND HOLD SPONSOR, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (COLLECTIVELY, THE “VIVINT PARTIES”) HARMLESS FROM AND AGAINST ANY CLAIMS, SUITS, LOSSES DAMAGES, DEMANDS, COSTS AND EXPENSES, INCLUDING REASONABLE LEGAL FEES, ARISING OUT OF OR RELATED TO YOUR SUBMISSION OF USER CONTENT OR YOUR VIOLATION OF THIS AGREEMENT.

Limitation of Liability and Release

Your entry into this Promotion constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, parents, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Promotion and/or the (1) Winner accepting, possessing, using, or misusing any awarded prize or any portion thereof; (2) any type of technical failure related to the Promotion; (3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; (4) unauthorized intervention in any part of the entry process or the Promotion; and/or (5) electronic error or human error in the administration of the Promotion or the processing of entries. You also agree to release and hold harmless Instagram, Facebook, Twitter/X, YouTube, TikTok, and their respective subsidiaries, representatives, affiliates, partners, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages related in any way to the Promotion.

Compliance with the Law

Prizes

Sponsor will randomly select twenty-nine (29) winners of the Giveaways (the “Winner”) by following the process set forth in Section 8 below. Odds

The total number of eligible entries received by Vivint will determine the odds of winning.

Selection of Winner

At the conclusion of the Giveaway, the Sponsor will select twenty-nine (29) Winners via the following process: (i) Sponsor will create a pool of Eligible Entries and randomly select twenty-nine Entries from the pool using a third-party randomizer tool. (ii) Sponsor will review all winning Entries and confirm that each Winner meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6. (iii) If a selected Entry does not meet all requirements specified in these Official Rules, Sponsor will use a third-party randomizer tool to select a replacement Entry until Sponsor has selected twenty-nine Winners that meet all relevant eligibility requirements.

Notification and Announcement of Winner

The Sponsor will notify Winners via email (sent by Sponsor to the email address of the Winner as provided in the Winner’s winning Giveaway Kickoff Post entry) no later than September 13 at 5:00 p.m. MDT and/or via email to the email address provided by the Entrant no later than September 13, 2024 at 12:00 p.m. MDT. The Sponsor is not responsible for and shall have no liability for any Winner’s failure to receive any such notice due to the Winner’s failure to check their email inbox in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for any Winner’s provision of incorrect or otherwise non-functioning contact information. If any Winner is found to be ineligible to win a Prize based on their age or any violation of these Official Rules as determined solely and exclusively by Sponsor, the Winner’s Prize may be forfeited and an alternate Winner may be selected. Receipt of the Prize by each Winner is conditioned upon the compliance by the Entrant and the Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. Disputes

The laws of the State of Utah, excluding the rules of conflicts of law, shall govern this and all matters arising out of or related to this Giveaways. All parties to this agreement, including both the Winner and any non-winning Entrants, hereby submit to the jurisdiction of the state or federal courts located in Provo, Utah. Each party to these Official Rules expressly agrees that it is subject to the jurisdiction and venue of those courts for purposes of such litigation. Eligibility

Vivint, Inc. (“Sponsor”) will conduct the Vivint Back to School Giveaway (the “Giveaway”) substantially as described in these Vivint Back to School Giveaway Official Rules (the “Official Rules”). By participating in the Giveaway, as outlined below, any participant (an “Entrant,” “You” or “Your”) agrees to be fully and unconditionally bound by these Official Rules. The Giveaway is open to legal residents of the United States who submit qualifying entries pursuant to Section 6 below. By participating in the Giveaway, you acknowledge and understand that the Giveaway is in no way sponsored, endorsed, or administered by, or in any way associated with, Instagram, Facebook, TikTok, YouTube, and/or X.

Agreement to Rules

By entering this Giveaway, You agree to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. Sponsor reserves the right to refuse, withdraw, or disqualify any entry (or Entrant) at any time at Sponsor’s sole discretion. Giveaway Entry Period

The Giveaway will operate in two phases. Phase 1 will be conducted via Vivint’s social media accounts. The Phase 1 entry period will begin on August 5, at 10:00 a.m. MDT, and end on August 9, 2024, at 5:00 p.m. MDT (“Phase 1 Entry Period”). Phase 2 will be conducted via email. Sponsor will send an email to its customers on August 7, 2024. The Phase 2 entry period will begin at on August 7, 2024 at 5:00 p.m. MDT, and end on August 9, 2024 at 5:00 p.m. MDT (the “Phase 2 Entry Period,” and collectively with the Phase 1 Entry Period, the “Entry Period”). To be eligible for the Giveaway, all entries must be received within the specified Entry Period.

Giveaway Kickoff Post

Sponsor will begin the Phase 1 Entry Period by publishing a kickoff post announcing the Giveaway on the official @Vivint social media accounts (hereafter, the “Giveaway Kickoff Post”). The Giveaway Kickoff Post will be published on August 5, 2024, at approximately 10:00 a.m. MDT. Sponsor will begin the Phase 2 Entry Period by sending a Kickoff Email to its customers on August 7, 2024 at approximately 8:00 a.m. MDT.

How to Enter

Each Entrant meeting the eligibility requirements set forth in these Official Rules may submit a Giveaway entry by fully completing the Nomination Form linked here. Each entry that is submitted during the Entry Period and meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6, will constitute an “Eligible Entry.” Only Eligible Entries will be eligible to win a Prize. Incomplete entries or those that, at the Sponsor’s sole discretion, do not adhere to the Official Rules will be disqualified. No purchase is necessary to win a Prize. Making a purchase will not improve an Entrant’s chance of winning.

Prizes

Sponsor will randomly select one (1) winner of the Giveaway (the “Winner”) by following the process set forth in Section 8 below. For the winning Entry, Vivint will provide a complimentary Vivint system with up to $2,000 of equipment (MSRP) and 12 months of complimentary service and monitoring, if applicable. The Prize is non-transferable. The Winner shall be solely responsible for all other expenses related to the Prize, including without limitation any and all local, state, and federal taxes. The Winner shall not be entitled to a cash equivalent or other Prize substitution.

All selections will be made at Sponsor’s sole discretion and are non-appealable.

Vivint, Inc. (“Sponsor”) will conduct the “2022 Caught on Vivint” Social Giveaway (the “Giveaway”) substantially as described in these Official Rules (the “Official Rules”). Agreement to Rules

By entering this Giveaway, You agree to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. Giveaway Entry Period

The Giveaway entry period will begin on December, 26, 2022, at 9:00 a.m. MDT, and end on December 27, 2022, at 9:00 p.m. MDT (“Entry Period”). To be eligible for the Giveaway, all entries must be received within the specified Entry Period.

Giveaway Kickoff Post

Sponsor will begin the Giveaway by publishing an Instagram post on the official @Vivint social media accounts announcing the Giveaway (hereafter, the “Giveaway Kickoff Post”). The Giveaway Kickoff Post will be published on December, 26, 2022, at approximately 9:00 a.m. MDT.

How to Enter

Each Entrant meeting the eligibility requirements set forth in these Official Rules may submit one or more Giveaway entries by using the link provided in the Giveaway Kickoff Post to submit a video of an authentic Vivint moment caught on their Vivint camera(s). Each entry that is submitted during the Entry Period and meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6, will constitute an “Eligible Entry.” Only Eligible Entries will be eligible to win a Prize.  Incomplete entries or those that, at the Sponsor’s sole discretion, do not adhere to the Official Rules will be disqualified. No purchase is necessary to win a Prize. Making a purchase will not improve an Entrant’s chance of winning.

Prizes

Sponsor will randomly select three (3) winners of the Giveaway by following the process set forth in Section 8 below. Each Winner will receive $1,000 via VISA gift cards (a “Prize”). Prizes are non-transferable. Each Winner shall be solely responsible for all expenses related to any Prize awarded to that person, including without limitation any and all local, state, and federal taxes. Winners shall not be entitled to a cash equivalent or other Prize substitution. In exchange for acceptance of a Prize, each Winner grants permission for the Sponsor to use that person’s likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.

Odds

The total number of eligible entries received by Sponsor will determine the odds of winning.

Selection of Winners

At the conclusion of the Giveaway, the Sponsor will select three (3) Winners via the following process: (i) Sponsor will review all submitted Entry videos of authentic Vivint moments captured by Entrants’ Vivint cameras. (ii) After reviewing all eligible Entries, Sponsor will select three (3) winning Entries that, in Sponsor’s sole discretion, showcase the most authentic Vivint moments caught on a Vivint camera. (iii) Sponsor will review all winning Entries and confirm that each Winner meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6.

Notification and Announcement of Winners

The Sponsor will notify each Winner via an email (sent by Sponsor to the email address provided by each Winner) within 1 hour following the selection of the winning Entries. Each Winner must claim their Prize by replying to the email with a message containing the Winner’s mailing address (i.e., the address to which the Winner would like the Prize to be sent) by no later than December 28, 2022 at 12:00 p.m. MDT. The Sponsor is not responsible for and shall have no liability for any Winner’s failure to receive any such notice due to the Winner’s failure to check their email in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for any Winner’s provision of incorrect or otherwise non-functioning contact information. If any Winner (1) fails to claim a Prize by December, 28, 2022 at 12:00 p.m. MDT, or (2) is found to be ineligible to win a Prize based on their age, state of residency, or any violation of these Official Rules as determined solely and exclusively by Sponsor, that Winner’s Prize may be forfeited and an alternate Winner may be selected by following the process outlined above.. Receipt of the Prize by the Winner is conditioned upon the compliance by the Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. Giveaway Entry Period

The Giveaway entry period will begin on May 19, 2022 at approximately 8:00 a.m. MDT, and end on May 25, 2022 at approximately 11:59 p.m. MDT (“Entry Period”). To be eligible for the Giveaway, all entries must be received within the specified Entry Period.

Giveaway Kickoff Post

Sponsor will begin the Entry Period by publishing a post on the official @lifeatvivint Instagram account and @vivint TikTok account announcing the Giveaway and providing instructions on how to perform a certain dance routine (hereafter collectively, the “Giveaway Kickoff Post”). The Giveaway Kickoff Post will be published on May 19, 2022 at approximately 9:00 a.m. MDT.

How to Enter


Each Entrant meeting the eligibility requirements set forth in these Official Rules may submit a Giveaway entry by (i) posting a video to the Entrant’s Instagram and/or TikTok account depicting the Entrant performing a dance routine based on the instructions provided in the Giveaway Kickoff Post and (ii) tagging @lifeatvivint on Instagram and/or @vivint on TikTok in the Entrant’s video post. Each entry that is submitted during the Entry Period and meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6, will constitute an “Eligible Entry.” Only Eligible Entries will be eligible to win a Prize. Incomplete entries or those that, at the Sponsor’s sole discretion, do not adhere to the Official Rules will be disqualified. No purchase is necessary to win a Prize. Making a purchase will not improve an Entrant’s chance of winning.

Prizes


Sponsor will randomly select three (3) winners of the Giveaway—a 1st Place Winner, a 2nd Place Winner, and a 3rd Place Winner (each, a “Winner”)—by following the process set forth in Section 8 below. The Winners will receive the following Prizes: 1st Place Winner – $500 Visa gift card; 2nd Place Winner – $250 Visa gift card; 3rd Place Winner – $100 Visa gift card. Each Winner shall be solely responsible for all expenses related to their Prize, including without limitation any and all local, state, and federal taxes. Winners shall not be entitled to a cash equivalent or other Prize substitution. In exchange for acceptance of a Prize, each Winner grants permission for the Sponsor to use that person’s likeness, entry, name, and video submission(s) for purposes of advertising and trade without further compensation unless prohibited by law.

Odds


The total number of eligible entries received by Sponsor will determine the odds of winning.

Selection of Winners


At the conclusion of the Giveaway, the Sponsor will select three (3) Winners—a 1st Place Winner, a 2nd Place Winner, and a 3rd Place Winner—via the following process: (i) Sponsor will review all Qualifying Entries submitted during the Entry Period, exclude entries that do not meet all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6, and group all remaining Qualifying Entries into a pool. (ii) A panel of judges selected by Sponsor comprised of members of Sponsor’s Ethnically Diverse Employee Resource Group will review the Qualifying Entries remaining and select 1st Place, 2nd Place, and 3rd Place Winners from the pool based on purely subjective criteria including without limitation the judges’ perception of the skillfulness, accuracy, and/or entertainment value of each Entrant’s dance routine. All selections will be made at Sponsor’s sole discretion, and Sponsor’s decisions are not subject to appeal.

Notification and Announcement of Winners

The Sponsor will notify each Winner via an Instagram and/or TikTok Direct Message (a “DM”) sent by Sponsor to the Instagram/TikTok username associated with the Winner’s winning Giveaway Kickoff Post entry by May 31, 2022 at 12:00 p.m. MDT. The Sponsor is not responsible for and shall have no liability for any Winner’s failure to receive any such notice due to the Winner’s failure to check their DMs or email inbox in a timely fashion, any social media or email privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for any Winner’s provision of incorrect or otherwise non-functioning contact information. If any Winner is found to be ineligible to win a Prize based on their age or any violation of these Official Rules as determined solely and exclusively by Sponsor, the Winner’s Prize may be forfeited and an alternate Winner may be selected. Receipt of the Prize by each Winner is conditioned upon the compliance by the Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. IF ANY WINNER VIOLATES ANY OF THESE OFFICIAL RULES, OR ANY FEDERAL, STATE OR LOCAL LAW(S) OR REGULATION(S), THAT WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. Rights Granted by You


By submitting one or more entries into this Giveaway, You understand and agree that the Sponsor, any individual acting on the Sponsor’s behalf, and the licensees, successors, and assigns of the Sponsor shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, Your submission, Your Instagram and/or TikTok username or handle, Your name, Your photo, portrait, likeness, image, statements about the Giveaway, and biographical information provided by You for publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration to you. You represent and warrant that any content, including but not limited to Your name, photograph, and/or comment(s) on Vivint’s Giveaway Kickoff post, submitted by You to Vivint in connection with the Giveaway belongs to You and that You have the legal right to share it with Sponsor. All content submitted by You must belong to You and must not violate the privacy, proprietary or intellectual property rights of any third party, or any other law, code, or regulation. You shall defend, indemnify and hold harmless Sponsor in connection with any claims that arise as a result of Your submission of Your Giveaway entry (or entries), including but not limited to any claim(s) related to an allegation that any Giveaway entry submitted by You violates the privacy, proprietary or intellectual property rights of any third party, at Your sole expense.

Terms & Conditions


In its sole discretion, Sponsor reserves the right to modify, suspend, cancel, or terminate the Giveaway should non-authorized human intervention, a bug or virus, fraud, or other causes beyond Sponsor’s control, impact or corrupt the security, fairness, proper conduct, or administration of the Giveaway. Sponsor, in the event of any of the above issues, may determine the Winner based on all eligible entries received prior to and/or after (if appropriate) one of the issues listed above, or may, at its option, cancel the Giveaway. Individuals who tamper with or attempt to tamper with the operation or entry process of the Giveaway or Vivint’s official Instagram or TikTok pages or otherwise violate these Official Rules will be disqualified by the Sponsor in its sole discretion. Sponsor has the right to void Giveaway submissions or entries for any reason, including, but not limited to: the use of bots, macros, scripts, or other technical means for submitting entries. Attempts by any entrant to deliberately damage any website or undermine the legitimate operation of the Giveaway may be a violation of criminal and civil laws. If any such attempt is made, the Sponsor reserves the right to seek damages to the fullest extent permitted by law.

Limitation of Liability and Release


Your entry into this Giveaway constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Giveaway and/or the (1) Winner accepting, possessing, using, or misusing any awarded prize or any portion thereof; (2) any type of technical failure related to the Giveaway; (3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; (4) unauthorized intervention in any part of the entry process or the Giveaway; and/or (5) electronic error or human error in the administration of the Giveaway or the processing of entries. Compliance with the Law

The Giveaway is governed by the applicable laws of the United States of America and the local or state jurisdictions in which the Giveaway is eligible, which take precedence over any rule to the contrary herein. Sponsor reserves the right to modify or discontinue the Giveaway to the extent any part of the Giveaway is determined to violate any law, statute, ordinance, or regulation.

Disputes


The laws of the State of Utah, excluding the rules of conflicts of law, shall govern this and all matters arising out of or related to this Giveaway. All parties to this agreement, including both the Winners and any non-winning Entrants, hereby submit to the jurisdiction of the state or federal courts located in Provo, Utah. Each party to these Official Rules expressly agrees that it is subject to the jurisdiction and venue of those courts for purposes of such litigation. Each party hereby waives and covenants not to assert any claim that is not subject to personal jurisdiction in those courts or that venue in those courts is for any reason improper, inconvenient, prejudicial or otherwise inappropriate (including, without limitation, any claim under the judicial doctrine of forum non conveniens).

Vivint, Inc. (“Sponsor”) will conduct the Vivint Signed Jazz Jersey Instagram Giveaway (the “Giveaway”) substantially as described in these Vivint Signed Jazz Jersey Instagram Giveaway Official Rules (the “Official Rules”). How to Enter Each

Entrant meeting the eligibility requirements set forth in these Official Rules may submit a Giveaway entry by following the process outlined below: (i) the Entrant’s Instagram account must follow Vivint’s official Instagram account (@Vivint); (ii) the Entrant must click “like’ on the Giveaway Kickoff Post; and (iii) the Entrant must share the Giveaway Kickoff Post to the Entrant’s Instagram story. Each entry that is submitted during the Entry Period and meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6, will constitute an “Eligible Entry.” Only Eligible Entries will be eligible to win a Prize. Incomplete entries or those that, at the Sponsor’s sole discretion, do not adhere to the Official Rules will be disqualified. No purchase is necessary to win a Prize. Selection of Winners

At the conclusion of the Giveaway, the Sponsor will randomly select one (1) Winner via the following process: (i) Sponsor will review all comments on the Giveaway Kickoff Post submitted during the Entry Period and create a pool consisting of all Eligible Entries. (ii) After creating the pool of Eligible Entries, Sponsor will assign each Eligible Entry a different, sequential number and use a random number generator to select one (1) winning Entry from the pool. (iii) Sponsor will review the randomly selected winning Entries and confirm that the Winner meets all 3 requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6.

Notification and Announcement of Winners

The Sponsor will notify the Winner via an Instagram Direct Message (“DM”) (sent by Sponsor to the Instagram handle of the Jersey Winner as provided in the Winner’s winning Giveaway Kickoff Post entry) within two days following the selection of the Winner. The Winner must claim their Prize by replying to the DM with a message containing the Winner’s mailing address (i.e., the address to which the Winner would like the Prize to be sent) by no later than April 27, 2022 at 10:00 a.m. MDT. The Sponsor is not responsible for and shall have no liability for the Winner’s failure to receive any such notice due to the Winner’s failure to check their Instagram Direct Messages in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for any Winner’s provision of incorrect or otherwise non-functioning contact information. If the Winner (1) fails to claim a Prize by April 27, 2022 at 10:00 a.m. MDT, or (2) is found to be ineligible to win a Prize based on their age, state or country of residency, or any violation of these Official Rules as determined solely and exclusively by Sponsor, the Winner’s Prize may be forfeited and an alternate Winner may be selected. Receipt of the Prize by the Winner is conditioned upon the compliance by the Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. At the conclusion of the Giveaway, the Sponsor will select three (3) Winners via the following process: (i) Sponsor will review all submitted Entry videos of pranks and scares captured by Entrants’ Vivint cameras. (ii) After reviewing all eligible Entries, Sponsor will select three (3) winning Entries that, in Sponsor’s sole discretion, showcase the funniest pranks, scares, or reactions caught on a Vivint camera(iii) Sponsor will review all winning Entries and confirm that each Winner meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6.

Notification and Announcement of Winners

The Sponsor will notify each Winner via an Instagram Direct Message (“DM”) (sent by Sponsor to the Instagram handles of each Winner within two days following the selection of the winning Entries. Each Winner must claim their Prize by replying to the DM with a message containing the Winner’s mailing address (i.e., the address to which the Winner would like the Prize to be sent) by no later than April 4, 2022 at 10:00 a.m. MDT. The Sponsor is not responsible for and shall have no liability for any Winner’s failure to receive any such notice due to the Winner’s failure to check their Instagram Direct Messages in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for any Winner’s provision of incorrect or otherwise non-functioning contact information. If any Winner (1) fails to claim a Prize by April, 6, 2022  at 10:00 a.m. MDT, or (2) is found to be ineligible to win a Prize based on their age, state of residency, or any violation of these Official Rules as determined solely and exclusively by Sponsor, that Winner’s Prize may be forfeited and an alternate Winner may be selected. Receipt of the Prize by the Winner is conditioned upon the compliance by the Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. IF ANY WINNER VIOLATES ANY OF THESE OFFICIAL RULES, OR ANY FEDERAL, STATE OR LOCAL LAW(S) OR REGULATION(S), THAT WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. No later than seven (7) days after the conclusion of the Giveaway, Sponsor will announce the Winners by posting a list of Winners on Sponsor’s Giveaway Kickoff Post.

Rights Granted by You

By submitting one or more entries into this Giveaway, You understand and agree that the Sponsor, any individual acting on the Sponsor’s behalf, and the licensees, successors, and assigns of the Sponsor shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, Your submission, Your Instagram handle, Your name, Your photo, portrait, likeness, image, statements about the Giveaway, and biographical information provided by You for publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration to you. You represent and warrant that any content, including but not limited to Your name, photograph, and/or comment(s) on Sponsor’s Giveaway Kickoff post, submitted by You to Sponsor  in connection with the Giveaway belongs to You and that You have the legal right to share it with Sponsor. All content submitted by You must belong to You and must not violate the privacy, proprietary or intellectual property rights of any third party, or any other law, code, or regulation. You shall defend, indemnify and hold harmless Sponsor in connection with any claims that arise as a result of Your submission of Your Giveaway entry (or entries), including but not limited to any claim(s) related to an allegation that any Giveaway entry submitted by You violates the privacy, proprietary or intellectual property rights of any third party, at Your sole expense.

Terms & Conditions

In its sole discretion, Sponsor reserves the right to modify, suspend, cancel, or terminate the Giveaway should non-authorized human intervention, a bug or virus, fraud, or other causes beyond Sponsor’s control, impact or corrupt the security, fairness, proper conduct, or administration of the Giveaway. Sponsor, in the event of any of the above issues, may determine the Winner based on all eligible entries received prior to and/or after (if appropriate) one of the issues listed above, or may, at its option, cancel the Giveaway. Individuals who tamper with or attempt to tamper with the operation or entry process of the Giveaway or Sponsor’s official Instagram page or otherwise violate these Official Rules will be disqualified by the Sponsor in its sole discretion. Sponsor has the right to void Giveaway submissions or entries for any reason, including, but not limited to: the use of bots, macros, scripts, or other technical means for submitting entries. Attempts by any entrant to deliberately damage any website or undermine the legitimate operation of the Giveaway may be a violation of criminal and civil laws. If any such attempt is made, the Sponsor reserves the right to seek damages to the fullest extent permitted by law.

Limitation of Liability and Release

Your entry into this Giveaway constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Giveaway and/or the (1) Winner accepting, possessing, using, or misusing any awarded prize or any portion thereof; (2) any type of technical failure related to the Giveaway; (3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; (4) unauthorized intervention in any part of the entry process or the Giveaway; and/or (5) electronic error or human error in the administration of the Giveaway or the processing of entries. You also agree to release and hold harmless Instagram, its subsidiaries, representatives, affiliates, partners, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages related in any way to the Giveaway.

Compliance with the Law

The Giveaway is governed by the applicable laws of the United States of America and the local or state jurisdictions in which the Giveaway is eligible, which take precedence over any rule to the contrary herein. Sponsor reserves the right to modify or discontinue the Giveaway to the extent any part of the Giveaway is determined to violate any law, statute, ordinance, or regulation.

Disputes

The laws of the State of Utah, excluding the rules of conflicts of law, shall govern this and all matters arising out of or related to this Giveaway. All parties to this agreement, including both the Winners and any non-winning Entrants, hereby submit to the jurisdiction of the state or federal courts located in Provo, Utah. Each party to these Official Rules expressly agrees that it is subject to the jurisdiction and venue of those courts for purposes of such litigation. Each party hereby waives and covenants not to assert any claim that is not subject to personal jurisdiction in those courts or that venue in those courts is for any reason improper, inconvenient, prejudicial or otherwise inappropriate (including, without limitation, any claim under the judicial doctrine of forum non conveniens).

Eligibility

Vivint, Inc. (“Sponsor”) will conduct the Vivint 10K Holiday Instagram Giveaway (the “Giveaway”) substantially as described in these Vivint 10K Holiday Giveaway Instagram Official Rules (the “Official Rules”). By participating in the Giveaway, as outlined below, any participant (an “Entrant,” “You” or “Your”) agrees to be fully and unconditionally bound by these Official Rules. The Giveaway is open to legal residents of the United States who submit entries on Instagram, as detailed in Section 5 below. Entrants must be 18 years of age as of their date of entry in the Giveaway in order to qualify. Employees of Sponsor that are involved in any way in administering or overseeing the Giveaway are ineligible to win any Prize. Similarly, residents of Florida, New York, and Rhode Island are ineligible to win a Prize. The Giveaway is subject to federal, state, and local laws and regulations and is void where prohibited by law. Sponsor reserves the right to disqualify any Entrant at any time for any reason. Entrants must NOT comment with, link to, or submit to Sponsor any material that is violent, sexually explicit, obscene, pornographic, discriminatory (based on race, sex, religion, natural origin, physical disability, sexual orientation or age), illegal (e.g. underage drinking, substance abuse, computer hacking, etc.), threatening, profane, or harassing or which is otherwise inappropriate or offensive.

The Giveaway is sponsored by Sponsor, whose primary office is located at 4931 N. 300 W., Provo, UT 84604. Sponsor will conduct the Giveaway substantially as described in these Official Rules. By participating in the Giveaway, you acknowledge and understand that the Giveaway is in no way sponsored, endorsed, or administered by, or in any way associated with, Instagram.

Agreement to Rules

By entering this Giveaway, You agree to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. Sponsor reserves the right to refuse, withdraw, or disqualify any entry at any time at Sponsor’s sole discretion. By entering this Giveaway, You represent and warrant that You are eligible to participate based on the eligibility requirements set forth in these the Official Rules. You also agree to accept the decisions of the Sponsor as final and binding as it relates to the winner(s) of the Giveaway.

Giveaway Entry Period

The Giveaway entry period will begin on Wednesday, December 8, 2021, at 10:00 a.m. MDT, and end on Friday, December, 10 2021, at 10:00 a.m. MDT (“Entry Period”). To be eligible for the Giveaway, all entries must be received within the specified Entry Period. 

Giveaway Kickoff Post

Vivint will begin the Giveaway by publishing an Instagram post on the official @Vivint Instagram account announcing the Giveaway (hereafter, the “Giveaway Kickoff Post”). The Giveaway Kickoff Post will be published on December 8, 2021, at approximately 10:00 a.m. MDT.

How to Enter

Each Entrant meeting the eligibility requirements set forth in these Official Rules may submit one or more Giveaway entries by doing the following: (i) the Entrant’s Instagram account must follow @Vivint on Instagram; and (ii) the Entrant must share Vivint’s Giveaway Post to the Entrant’s Instagram story; and (iii) the Entrant must post a comment on the Giveaway Kickoff Post from the Entrant’s Instagram account. The Entrant’s Instagram handle need not be public to win the Giveaway. However, to ensure that Sponsor can find each Entrant to confirm their eligibility and potentially award a Prize, Entrants must not change their Instagram handle at any point between the beginning of the relevant Entry Period and the date the final Prize is awarded.  Each entry must fully meet all Giveaway requirements, as specified in these Official Rules, in order to be eligible to win a Prize. Incomplete entries or those that, at the Sponsor’s sole discretion, do not adhere to the Official Rules or specifications will be disqualified. No purchase is necessary to win a Prize. Making a purchase will not improve an Entrant’s chance of winning.

Prizes

Sponsor will select one (1) winner of the Giveaway by following the process set forth in Section 9 below. Upon acceptance, the Winner will receive a $10,000 check (the “Prize”). The Prize is non-transferable. The Winner, upon acceptance of a Prize, is solely responsible for all expenses related to that Prize, including without limitation any and all local, state, and federal taxes. The Winner shall not be entitled to transfer assignment of the Prize to another, nor shall the Winner be entitled to a substitute prize. By accepting the Prize, the Winner grants permission for the Sponsor to use the Winner’s likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.

Odds

The total number of eligible entries received by Vivint will determine the odds of winning.

Selection and Notification of Winner

At the conclusion of each Entry Period, the Sponsor will randomly select one (1) Winner from the pool of eligible Entrants. The Sponsor will notify the Winner via an Instagram Direct Message (“DM”) sent by Sponsor to the Instagram handle of the Winner within 24 hours following the selection of the Winner. The Winner must claim their Prize by replying to the DM with a message containing the Winner’s mailing address no later than 48 hours after receiving the DM. The Sponsor is not responsible for and shall have no  liability for the Winner’s failure to receive any such notice due to the Winner’s failure to check their Instagram DMs in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for the Winner’s provision of incorrect or otherwise non-functioning contact information. If the Winner (1) fails to claim a Prize within 48 hours after receiving Sponsor’s award notification DM, (2) informs Vivint within 48 hours after receiving Sponsor’s award notification DM that Winner does not wish to accept the Prize, or (3) is found to be ineligible to win a Prize based on their age, state of residency, or any violation of these Official Rules as determined solely and exclusively by Sponsor, the Winner’s Prize may be forfeited and an alternate Winner may be selected. Receipt of the Prize by the Winner is conditioned upon the compliance by Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. IF THE WINNER VIOLATES ANY OF THESE OFFICIAL RULES, OR ANY FEDERAL, STATE OR LOCAL LAW(S) OR REGULATION(S), THE WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. (“Sponsor”) will conduct the Vivint x Freshly Picked x Owlet Smart Essentials Giveaway (the “Giveaway”) substantially as described in these Vivint x Freshly Picked x Owlet Smart Essentials Giveaway Official Rules (the “Official Rules”). By participating in the Giveaway, as outlined below, any participant (an “Entrant,” “You” or “Your”) agrees to be fully and unconditionally bound by these Official Rules. The Giveaway is open to legal residents of the United States who submit qualifying entries on Instagram, as detailed in Section 5 below. If Sponsor selects an Entrant as the Prize Winner and the Entrant (as that term is defined in these Official Rules) does not or is not willing to meet the eligibility requirements set forth herein, Sponsor will not award a prize to that Entrant and will instead select a different Entrant to be the Prize Winner. (“Owlet”) will each publish an Instagram post of their own (each, a “Partner Kickoff Post,” and collectively with the Vivint Kickoff Post, the “Giveaway Kickoff Posts”) advertising the Giveaway on August 25, 2021, at approximately 10:00 a.m. MDT.

Making a purchase will not improve an Entrant’s chance of winning.

Prizes

Sponsors will randomly select one (1) winner of the Giveaway (the “Prize Winner”) to receive a Prize by following the process set forth in Section 9 below. The Prize Winner shall be solely responsible for all expenses related to any Prize awarded to that person, including without limitation any and all local, state, and federal taxes. Prize Winner shall not be entitled to a cash equivalent or other Prize substitution. In exchange for acceptance of a Prize, the Prize Winner grants permission for the Sponsor to use that person’s likeness, Eligible Entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.

The total number of eligible entries received by Sponsor, Owlet and Freshly Picked will determine the odds of winning.

Selection of Winning Entry

At the conclusion of the Giveaway, the Sponsor will randomly select one (1) Prize Winner via the following process: (i) Sponsor, Owlet and Freshly Picked will review all comments posted on their respective Giveaway Kickoff Post(s) during the Entry Period and create three (3) separate pools of Eligible Entries—one pool for Eligible Entries submitted via the Vivint Kickoff Post, and one each for Eligible Entries submitted via the two Partner Kickoff Posts. (ii) Sponsor, Owlet and Freshly Picked will select a total of six (6) Finalists from among the three (3) pools of Eligible Entries by assigning each Eligible Entry a different, sequential number and using a random number generator to randomly select two Finalists from each pool. (iii) Sponsor will review each of the randomly selected Finalists and confirm that each Finalist meets all eligibility requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6. If any of the Finalists do not meet the eligibility requirements set forth in these Official Rules, as determined at Sponsor’s sole discretion, then Sponsor will disqualify that Finalist, meaning that Finalist will not be eligible for selection as the Prize Winner. (iv) Once Sponsor has finished reviewing the eligibility of each of the Finalists, Sponsor will assign each eligible Finalist a different, sequential number and use a random number generator to randomly select a Prize Winner from among the pool of eligible Finalists. If none of the six (6) Finalists selected meets the eligibility requirements set forth in these Official Rules, then Sponsor will reinitiate the Finalist selection process set forth in subpart (ii) of this Section 9 until Sponsor is able to find at least one (1) Finalist that meets all eligibility requirements set forth in these Official Rules, at which point that person will become the Prize Winner.

Notification and Announcement of Prize Winners

The Sponsor will notify the Prize Winner via an Instagram Direct Message (“DM”) sent by Sponsor to the Instagram handle of the Prize Winner within two days following the selection of the Prize Winner. The Prize Winner must claim their Prize by replying to the DM with a message confirming that they either (i) own the property where the Vivint Doorbell Camera Pro will be installed, or (ii) have the property owner’s permission to install the Vivint Doorbell Camera Pro. The Prize Winner’s response must be received no later than August 31, 2021 at 6:00 p.m. MDT. The Sponsor is not responsible for and shall have no liability for the Prize Winner’s failure to receive any such notice due to the Prize Winner’s failure to check their Instagram DMs in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for the Prize Winner’s provision of incorrect or otherwise non- functioning contact information. If the Prize Winner (a) fails to claim a Prize by August 31, 2021 at 6:00 p.m. MDT, or (b) is found to be ineligible to win a Prize based on their age, state of residency, ZIP code, lack of permission for Sponsor to install the Vivint Doorbell Camera Pro at the Prize Winner’s residence of choice, or any violation of these Official Rules as determined solely and exclusively by Sponsor, that Prize Winner’s Prize may be forfeited and an alternate Prize Winner may be selected. Receipt of the Prize by the Prize Winner is conditioned upon the compliance by the Prize Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. IF ANY PRIZE WINNER VIOLATES ANY OF THESE OFFICIAL RULES, OR ANY FEDERAL, STATE OR LOCAL LAW(S) OR REGULATION(S), THAT PRIZE WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS PRIZE WINNER WILL BE IMMEDIATELY TERMINATED. No later than fourteen (14) days after the conclusion of the Giveaway, Sponsor will post a comment announcing the Prize Winner and tagging the Prize Winner’s Instagram handle on Vivint’s Giveaway Kickoff Post.

Rights Granted by You

By submitting one or more entries into this Giveaway, You understand and agree that the Sponsor, any individual acting on the Sponsor’s behalf, and the licensees, successors, and assigns of the Sponsor shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, Your submission, Your Instagram handle, Your name, Your photo, portrait, likeness, image, statements about the Giveaway, and biographical information provided by You for publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration to you. You represent and warrant that any content, including but not limited to Your name, photograph, and/or comment(s) on any of the Giveaway Kickoff Posts, submitted by You to Vivint in connection with the Giveaway belongs to You and that You have the legal right to share it with Sponsor. All content submitted by You must belong to You and must not violate the privacy, proprietary or intellectual property rights of any third party, or any other law, code, or regulation. You shall defend, indemnify and hold harmless Sponsor, Owlet, and/or Freshly Picked in connection with any claims that arise as a result of Your submission of Your Giveaway entry (or entries), including but not limited to any claim(s) related to an allegation that any Giveaway entry submitted by You violates the privacy, proprietary or intellectual property rights of any third party, at Your sole expense.

Terms & Conditions

In its sole discretion, Sponsor reserves the right to modify, suspend, cancel, or terminate the Giveaway should non-authorized human intervention, a bug or virus, fraud, or other causes beyond Sponsor’s control, impact or corrupt the security, fairness, proper conduct, or administration of the Giveaway. Sponsor, in the event of any of the above issues, may determine the Prize Winner based on all eligible entries received prior to and/or after (if appropriate) one of the issues listed above, or may, at its option, cancel the Giveaway. Individuals who tamper with or attempt to tamper with the operation or entry process of the Giveaway or Vivint’s official Instagram page or otherwise violate these Official Rules will be disqualified by the Sponsor in its sole discretion. Sponsor has the right to void Giveaway submissions or entries for any reason, including, but not limited to: the use of bots, macros, scripts, or other technical means for submitting entries. Attempts by any entrant to deliberately damage any website or undermine the legitimate operation of the Giveaway may be a violation of criminal and civil laws. If any such attempt is made, the Sponsor reserves the right to seek damages to the fullest extent permitted by law.

Limitation of Liability and Release

Your entry into this Giveaway constitutes Your agreement to release and hold harmless the Sponsor, Owlet, Freshly Picked, and the subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers of Sponsor, Owlet and Freshly Picked (collectively, the “Indemnified Parties”) against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Giveaway and/or the (1) Prize Winner accepting, possessing, using, or misusing any prize (including but not limited to the Freshly Picked Weekender Bag, the Owlet Smart Sock Plus and/or the Vivint Doorbell Camera Pro) or any portion thereof; (2) any type of technical or other failure related to the Freshly Picked Weekender Bag, the Owlet Smart Sock Plus and/or the Vivint Doorbell Camera Pro; (3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; (4) unauthorized intervention in any part of the entry process or the Giveaway; and/or (5) technical error, electronic error or human error in the administration of the Giveaway or the processing of entries. You also agree to release and hold harmless Instagram, its subsidiaries, representatives, affiliates, partners, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages related in any way to the Giveaway.

Compliance with the Law

The Giveaway is governed by the applicable laws of the United States of America and the local or state jurisdictions in which the Giveaway is eligible, which take precedence over any rule to the contrary herein. Sponsor reserves the right to modify or discontinue the Giveaway to the extent any part of the Giveaway is determined to violate any law, statute, ordinance, or regulation.

Disputes

The laws of the State of Utah, excluding the rules of conflicts of law, shall govern this and all matters arising out of or related to this Giveaway. All parties to this agreement, including both the Prize Winners and any non-winning Entrants, hereby submit to the jurisdiction of the state or federal courts located in Provo, Utah. Each party to these Official Rules expressly agrees that it is subject to the jurisdiction and venue of those courts for purposes of such litigation. Each party hereby waives and covenants not to assert any claim that is not subject to personal jurisdiction in those courts or that venue in those courts is for any reason improper, inconvenient, prejudicial or otherwise inappropriate (including, without limitation, any claim under the judicial doctrine of
forum non conveniens).

Eligibility

Vivint, Inc. (“Sponsor”) will conduct the Super Secret Giveaway (the “Giveaway”) substantially as described in these Super Secret Giveaway Official Rules (the “Official Rules”). By participating in the Giveaway, as outlined below, any participant (an “Entrant,” “You” or “Your”) agrees to be fully and unconditionally bound by these Official Rules. The Giveaway is open to all current Vivint Employees who submit qualifying entries on Instagram, as detailed in Section 5 below. Entrants must be 18 years of age as of their date of entry in the Giveaway in order to qualify. Employees of Sponsor that are involved in any way in administering or overseeing the Giveaway are ineligible to win or be awarded any Prize. Residents of Florida, New York, and Rhode Island are ineligible to win or be awarded any Prize. The Prize consists of five $100 Awardco credits to be awarded to five different winners (each, a “Prize”). To be eligible to win a Prize, each Entrant must be a current Vivint Employee. If Sponsor selects an Entrant as a Prize Winner and the Entrant (as that term is defined in these Official Rules) does not or is not willing to meet the eligibility requirements set forth herein, Sponsor will not award a prize to that Entrant will instead select a different Entrant as a replacement Prize Winner. The Giveaway is subject to federal, state, and local laws and regulations and is void where prohibited by law. Sponsor reserves the right to disqualify any Entrant at any time for any reason. Entrants must NOT comment with, link to, or submit to Sponsor any material that is violent, sexually explicit, obscene, pornographic, discriminatory (based on race, sex, religion, natural origin, physical disability, sexual orientation or age), illegal (e.g. underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, profane, or harassing or which is otherwise inappropriate.

Sponsorship

The Giveaway is sponsored by Sponsor, whose primary office is located at 4931 N. 300 W., Provo, UT 84604. Sponsor will conduct the Giveaway substantially as described in these Official Rules. By participating in the Giveaway, you acknowledge and understand that the Giveaway is in no way sponsored, endorsed, or administered by, or in any way associated with, Instagram.

Agreement to Rules

By entering this Giveaway, You agree to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. Sponsor reserves the right to refuse, withdraw, or disqualify any entry (or Entrant) at any time at Sponsor’s sole discretion. By entering this Giveaway, You represent and warrant that You are eligible to participate based on the eligibility requirements set forth in these the Official Rules. You also agree to accept the decisions of the Sponsor as final and binding as it relates to the winner(s) of the Giveaway.

Giveaway Entry Period

The Giveaway entry period will begin on September 20, 2021, at 10:00 a.m. MDT, and end on September 23, 2021, at 5:00 p.m. MDT (“Entry Period”). To be eligible for the Giveaway, all entries must be received within the specified Entry Period. 

Giveaway Kickoff Post

Vivint will begin the Giveaway by sending out an email announcing the Giveaway (the “Giveaway Kickoff Email”) to every current employee at their then-current Vivint employee email address. The Giveaway Kickoff Email will provide instructions for how to participate in the Giveaway, and will include a link to the official @Vivint Instagram account post (hereafter, the “Giveaway Kickoff Post”) where such participation will occur. The Giveaway Kickoff Email will be sent out on September 20, 2021, at approximately 10:00 a.m. MDT.

How to Enter

Each Entrant meeting the eligibility requirements set forth in these Official Rules may submit one (1) Giveaway entry by following the process outlined below: (i) the Entrant’s Instagram account must follow Vivint’s official Instagram account (@Vivint); (ii) the Entrant must comment “😎” on the Giveaway Kickoff Post identified in the Giveaway Kickoff; and (iii) the comment must be posted from an Instagram account belonging to Entrant—not someone else. Each Entrant may only submit one (1) entry. Each Entry that is submitted during the Entry Period and meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6, will constitute an “Eligible Entry.” Only Eligible Entries will be eligible to win a Prize.  Incomplete entries or those that, at the Sponsor’s sole discretion, do not adhere to the Official Rules will be disqualified. No purchase is necessary to win a Prize. Making a purchase will not improve an Entrant’s chance of winning. 

Prizes

Sponsors will randomly select five (5) winners of the Giveaway (each a “Prize Winner”) to receive a Prize by following the process set forth in Section 9 below. Each Prize Winner will be solely responsible for all expenses related to any Prize awarded to that person, including without limitation any and all local, state, and federal taxes. Prize Winners shall not be entitled to any cash equivalent or other Prize substitution. In exchange for acceptance of a Prize, each Prize Winner grants permission for the Sponsor to use that person’s likeness, Eligible Entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.

Odds

The total number of eligible entries received by Vivint will determine the odds of winning.

Selection of Winning Entry

At the conclusion of the Giveaway, the Sponsor will randomly select five (5) Prize Winners via the following process: (i) Sponsor will review all comments on the Giveaway Kickoff Post submitted during the Entry Period and create a pool consisting of all Eligible Entries. (ii) After creating the pool of Eligible Entries, Sponsor will assign each Eligible Entry a different, sequential number and use a random number generator to select five (5) Winning Entries and five (5) alternate entries from the pool, which will be numbered sequentially as Alternates 1 – 5 based on the order in which they were selected. (iii) Sponsor will review the randomly selected Winning Entries and confirm in each case that the Winning Entrant meets all eligibility requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6. If any of the 5 Winning Entrants selected by Sponsor does not meet each of the eligibility requirements set forth in these Official Rules, as determined at Sponsor’s sole discretion, then Sponsor will disqualify that Winning Entrant and reinitiate the eligibility verification process set forth in subpart (iii) of this Section 9, starting with Alternate 1, until Sponsor is able to find an Alternate entry where the Entrant meets all eligibility requirements set forth in these Official Rules, at which point that person will become a replacement Prize Winner.

Notification and Announcement of Prize Winners

The Sponsor will notify each Prize Winner via an email to their Vivint employee email address and/or via an Instagram Direct Message (“DM”) sent by Sponsor to the Instagram handle of that Prize Winner within two days following the selection of the Prize Winners. Each Prize Winner must claim their Prize by replying to the DM and/or email with a message confirming their Vivint Employee Badge ID Number. The Prize Winner’s response must be received no later than September 27, 2021 at 5 p.m. MDT. The Sponsor is not responsible for and shall have no liability for any Prize Winner’s failure to receive any such notice due to the Prize Winner’s failure to check their Vivint employee email inbox or Instagram DMs in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for that Prize Winner’s provision of incorrect or otherwise non-functioning contact information. If any Prize Winner (a) fails to claim a Prize by October 4, 2021 at 10:00 a.m. MDT, or (b) is found to be ineligible to win a Prize based on their current employment states at Vivint or any violation of these Official Rules as determined solely and exclusively by Sponsor, that Prize Winner’s Prize may be forfeited and an alternate Prize Winner may be selected. Receipt of the Prize by the Prize Winner is conditioned upon the compliance by the Prize Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. The Sponsor is not responsible for and shall have no liability for any Prize Winner’s failure to receive any such notice due to the Prize Winner’s failure to check their email inbox or Instagram DMs in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for the Prize Winner’s provision of incorrect or otherwise non-functioning contact information. Rights Granted by You

By submitting one or more entries into this Giveaway, You understand and agree that the Sponsor, any individual acting on the Sponsor’s behalf, and the licensees, successors, and assigns of the Sponsor shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, Your submission, Your Instagram handle, Your name, Your photo, portrait, likeness, image, statements about the Giveaway, and biographical information provided by You for publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration to you. You represent and warrant that any content, including but not limited to Your name, photograph, and/or comment(s) on Vivint’s Selected Giveaway post (indicated in the Customer Newsletter email), submitted by You to Vivint in connection with the Giveaway belongs to You and that You have the legal right to share it with Sponsor. All content submitted by You must belong to You and must not violate the privacy, proprietary or intellectual property rights of any third party, or any other law, code, or regulation. You shall defend, indemnify and hold harmless Sponsor in connection with any claims that arise as a result of Your submission of Your Giveaway entry (or entries), including but not limited to any claim(s) related to an allegation that any Giveaway entry submitted by You violates the privacy, proprietary or intellectual property rights of any third party, at Your sole expense.

Terms & Conditions

In its sole discretion, Sponsor reserves the right to modify, suspend, cancel, or terminate the Giveaway should non-authorized human intervention, a bug or virus, fraud, or other causes beyond Sponsor’s control, impact or corrupt the security, fairness, proper conduct, or administration of the Giveaway. Sponsor, in the event of any of the above issues, may determine the Prize Winners based on all eligible entries received prior to and/or after (if appropriate) one of the issues listed above, or may, at its option, cancel the Giveaway. Individuals who tamper with or attempt to tamper with the operation or entry process of the Giveaway or Vivint’s official Instagram page or otherwise violate these Official Rules will be disqualified by the Sponsor in its sole discretion. Sponsor has the right to void Giveaway submissions or entries for any reason, including, but not limited to: the use of bots, macros, scripts, or other technical means for submitting entries. Attempts by any entrant to deliberately damage any website or undermine the legitimate operation of the Giveaway may be a violation of criminal and civil laws. If any such attempt is made, the Sponsor reserves the right to seek damages to the fullest extent permitted by law.

Limitation of Liability and Release

Your entry into this Giveaway constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Giveaway and/or (1) any Prize Winner accepting, possessing, using, or misusing any awarded prize or any portion thereof; (2) any type of technical failure related to the Giveaway; (3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; (4) unauthorized intervention in any part of the entry process or the Giveaway; and/or (5) electronic error or human error in the administration of the Giveaway or the processing of entries. You also agree to release and hold harmless Instagram, its subsidiaries, representatives, affiliates, partners, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages related in any way to the Giveaway.

Compliance with the Law

The Giveaway is governed by the applicable laws of the United States of America and the local or state jurisdictions in which the Giveaway is eligible, which take precedence over any rule to the contrary herein. Sponsor reserves the right to modify or discontinue the Giveaway to the extent any part of the Giveaway is determined to violate any law, statute, ordinance, or regulation.

Disputes

The laws of the State of Utah, excluding the rules of conflicts of law, shall govern this and all matters arising out of or related to this Giveaway. All parties to this agreement, including both the Prize Winners and any non-winning Entrants, hereby submit to the jurisdiction of the state or federal courts located in Provo, Utah. Each party to these Official Rules expressly agrees that it is subject to the jurisdiction and venue of those courts for purposes of such litigation. Each party hereby waives and covenants not to assert any claim that is not subject to personal jurisdiction in those courts or that venue in those courts is for any reason improper, inconvenient, prejudicial or otherwise inappropriate (including, without limitation, any claim under the judicial doctrine of forum non conveniens).

Eligibility

Vivint, Inc. (“Sponsor” or “Vivint”) will conduct the Secret Spooky Giveaway (the “Giveaway”) substantially as described in these Secret Spooky Giveaway Official Rules (the “Official Rules”). By participating in the Giveaway, as outlined below, any participant (an “Entrant,” “You” or “Your”) agrees to be fully and unconditionally bound by these Official Rules. The Giveaway is open to all current Vivint Employees working in Vivint’s Customer Excellence department in Lindon, Logan, Cedar City or Provo (collectively, the “CX Employees”) who submit qualifying entries on Instagram, as detailed in Section 5 below. Entrants must be 18 years of age as of their date of entry in the Giveaway in order to qualify. Employees of Sponsor that are involved in any way in administering or overseeing the Giveaway are ineligible to win or be awarded any Prize. Residents of Florida, New York, and Rhode Island are ineligible to win or be awarded any Prize. Each Prize consists of two (2) fast pass tickets to the Nightmare On 13th Haunted House attraction located in Salt Lake City, Utah, which must be used during Nightmare on 13th’s 2021 Halloween season. Five (5) total Prizes will be awarded. To be eligible to win a Prize, each Entrant must be a current Vivint Employee. If Sponsor selects an Entrant as a Prize Winner and the Entrant (as that term is defined in these Official Rules) does not or is not willing to meet the eligibility requirements set forth herein, Sponsor will not award a prize to that Entrant will instead select a different Entrant as a replacement Prize Winner. The Giveaway is subject to federal, state, and local laws and regulations and is void where prohibited by law. Sponsor reserves the right to disqualify any Entrant at any time for any reason. Entrants must NOT comment with, link to, or submit to Sponsor any material that is violent, sexually explicit, obscene, pornographic, discriminatory (based on race, sex, religion, natural origin, physical disability, sexual orientation or age), illegal (e.g. underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, profane, or harassing or which is otherwise inappropriate.

Agreement to Rules

By entering this Giveaway, You agree to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. Sponsor reserves the right to refuse, withdraw, or disqualify any entry (or Entrant) at any time at Sponsor’s sole discretion. Giveaway Entry Period

The Giveaway entry period will begin on October 6, 2021, at 10:00 a.m. MDT, and end on October 8, 2021, at 11:59 p.m. MDT (“Entry Period”). To be eligible for the Giveaway, all entries must be received within the specified Entry Period.

Giveaway Kickoff Post

Vivint will begin the Giveaway by sending out an email announcing the Giveaway (the “Giveaway Kickoff Email”) to every current CX Employee at their then-current Vivint employee email address. The Giveaway Kickoff Email will provide instructions for how to participate in the Giveaway, and will include a link to the official @LifeatVivint Instagram account post (hereafter, the “Giveaway Kickoff Post”) where such participation will occur. The Giveaway Kickoff Email will be sent out on October 6, 2021, at approximately 10:00 a.m. MDT.

How to Enter

Each Entrant meeting the eligibility requirements set forth in these Official Rules may submit one (1) Giveaway entry by following the process outlined below: (i) the Entrant’s Instagram account must follow Vivint’s official “Life at Vivint” Instagram account (@LifeatVivint); (ii) the Entrant must comment “🎃” on the Giveaway Kickoff Post identified in the Giveaway Kickoff; and (iii) the comment must be posted from an Instagram account belonging to Entrant—not someone else. Each Entrant may only submit one (1) entry. Each Entry that is submitted during the Entry Period and meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6, will constitute an “Eligible Entry.” Only Eligible Entries will be eligible to win a Prize. Incomplete entries or those that, at the Sponsor’s sole discretion, do not adhere to the Official Rules will be disqualified. No purchase is necessary to win a Prize. Making a purchase will not improve an Entrant’s chance of winning.

Prizes

Sponsors will randomly select five (5) winners of the Giveaway (each a “Prize Winner”) to receive a Prize by following the process set forth in Section 9 below. Each Prize Winner will be solely responsible for all expenses related to any Prize awarded to that person, including without limitation any and all local, state, and federal taxes. Prize Winners shall not be entitled to any cash equivalent or other Prize substitution. In exchange for acceptance of a Prize, each Prize Winner grants permission for the Sponsor to use that person’s likeness, Eligible Entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.

Odds

The total number of eligible entries received by Vivint will determine the odds of winning.

Selection of Winning Entry

At the conclusion of the Giveaway, the Sponsor will randomly select five (5) Prize Winners via the following process: (i) Sponsor will review all comments on the Giveaway Kickoff Post submitted during the Entry Period and create a pool consisting of all Eligible Entries. (ii) After creating the pool of Eligible Entries, Sponsor will assign each Eligible Entry a different, sequential number and use a random number generator to select five (5) Winning Entries and five (5) alternate entries from the pool, which will be numbered sequentially as Alternates 1 – 5 based on the order in which they were selected. (iii) Sponsor will review the randomly selected Winning Entries and confirm in each case that the Winning Entrant meets all eligibility requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6. If any of the 5 Winning Entrants selected by Sponsor does not meet each of the eligibility requirements set forth in these Official Rules, as determined at Sponsor’s sole discretion, then Sponsor will disqualify that Winning Entrant and reinitiate the eligibility verification process set forth in subpart (iii) of this Section 9, starting with Alternate 1, until Sponsor is able to find an Alternate entry where the Entrant meets all eligibility requirements set forth in these Official Rules, at which point that person will become a replacement Prize Winner.

Notification and Announcement of Prize Winners

The Sponsor will notify each Prize Winner via an email to their Vivint employee email address and/or via an Instagram Direct Message (“DM”) sent by Sponsor to the Instagram handle of that Prize Winner within two days following the selection of the Prize Winners. Each Prize Winner must claim their Prize by replying to the DM and/or email with a message confirming their Vivint Employee Badge ID Number. The Prize Winner’s response must be received no later than October 10, 2021 at 5 p.m. MDT. The Sponsor is not responsible for and shall have no liability for any Prize Winner’s failure to receive any such notice due to the Prize Winner’s failure to check their Vivint employee email inbox or Instagram DMs in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for that Prize Winner’s provision of incorrect or otherwise non-functioning contact information. If any Prize Winner (a) fails to claim a Prize by October 14, 2021 at 10:00 a.m. MDT, or (b) is found to be ineligible to win a Prize based on their current employment status at Vivint or any violation of these Official Rules as determined solely and exclusively by Sponsor, that Prize Winner’s Prize may be forfeited and an alternate Prize Winner may be selected. Receipt of the Prize by the Prize Winner is conditioned upon the compliance by the Prize Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. Each Jersey Winner will receive a Utah Jazz basketball jersey signed by a current Utah Jazz player (each, a “Prize”). In addition, the one (1) Instagram friend that each Jersey Winner tagged in their winning Entry (the “Lucky Friend,” and collectively with the Jersey Winner, the “Winners”) will also receive a Prize. Prizes are non-transferable. Each Winner shall be solely responsible for all expenses related to any Prize awarded to that person, including without limitation any and all local, state, and federal taxes. Winners shall not be entitled to a cash equivalent or other Prize substitution. In exchange for acceptance of a Prize each Winner grants permission for the Sponsor to use that person’s likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.

Each Winner must claim their Prize by replying to the DM with a message containing the Winner’s mailing address (i.e., the address to which the Winner would like the Prize to be sent) by no later than Oct 30, 2021 at 10:00 a.m. MDT. The Sponsor is not responsible for and shall have no liability for any Winner’s failure to receive any such notice due to the Winner’s failure to check their Instagram Direct Messages in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for any Jersey Winner’s provision of incorrect or otherwise non-functioning contact information. In its sole discretion, Sponsor reserves the right to modify, suspend, cancel, or terminate the Giveaway should non-authorized human intervention, a bug or virus, fraud, or other causes beyond Sponsor’s control, impact or corrupt the security, fairness, proper conduct, or administration of the Giveaway. Sponsor, in the event of any of the above issues, may determine the Winner based on all eligible entries received prior to and/or after (if appropriate) one of the issues listed above, or may, at its option, cancel the Giveaway. Limitation of Liability and Release

Your entry into this Giveaway constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Giveaway and/or the (1) Winner accepting, possessing, using, or misusing any awarded Prize or any portion thereof; (2) any type of technical failure related to the Giveaway; (3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; (4) unauthorized intervention in any part of the entry process or the Giveaway; and/or (5) electronic error or human error in the administration of the Giveaway or the processing of entries. Sponsor reserves the right to modify or discontinue the Giveaway to the extent any part of the Giveaway is determined to violate any law, statute, ordinance, or regulation.

Disputes

The laws of the State of Utah, excluding the rules of conflicts of law, shall govern this and all matters arising out of or related to this Giveaway. All parties to this agreement, including both the Winners and any non-winning Entrants, hereby submit to the jurisdiction of the state or federal courts located in Provo, Utah. Each party to these Official Rules expressly agrees that it is subject to the jurisdiction and venue of those courts for purposes of such litigation. Each party hereby waives and covenants not to assert any claim that is not subject to personal jurisdiction in those courts or that venue in those courts is for any reason improper, inconvenient, prejudicial or otherwise inappropriate (including, without limitation, any claim under the judicial doctrine of forum non conveniens).

Eligibility

Vivint, Inc. (“Sponsor”) will conduct the No Tricks, Just Treats Jazz Ticket Giveaway (the “Giveaway”) substantially as described in these No Tricks, Just Treats Jazz Ticket Giveaway Official Rules (the “Official Rules”). By participating in the Giveaway, as outlined below, any participant (an “Entrant,” “You” or “Your”) agrees to be fully and unconditionally bound by these Official Rules. The Giveaway is open to legal residents of the United States who submit qualifying entries on Instagram, as detailed in Section 5 below. Entrants must be 18 years of age as of their date of entry in the Giveaway in order to qualify. Employees of Sponsor that are involved in any way in administering or overseeing the Giveaway are ineligible to win any Prize. Similarly, residents of Florida, New York, and Rhode Island are ineligible to win any Prize. The Giveaway is subject to federal, state, and local laws and regulations and is void where prohibited by law. Sponsor reserves the right to disqualify any Entrant at any time for any reason. By participating in the Giveaway, you acknowledge and understand that the Giveaway is in no way sponsored, endorsed, or administered by, or in any way associated with, Instagram.

Agreement to Rules

By entering this Giveaway, You agree to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. Sponsor reserves the right to refuse, withdraw, or disqualify any entry (or Entrant) at any time at Sponsor’s sole discretion. By entering this Giveaway, You represent and warrant that You are eligible to participate based on the eligibility requirements set forth in these the Official Rules. Giveaway Entry Period

The Giveaway entry period will begin on Oct 27, 2021, at 10:00 a.m. MDT, and end on Oct 29, 2021, at 10:00 a.m. MDT (“Entry Period”). To be eligible for the Giveaway, all entries must be received within the specified Entry Period. 

Giveaway Kickoff Post

Vivint will begin the Giveaway by publishing an Instagram post on the official @Vivint Instagram account announcing the Giveaway (hereafter, the “Giveaway Kickoff Post”). The Giveaway Kickoff Post will be published on Oct 27, 2021, at approximately 10:00 a.m. MDT.

How to Enter

Each Entrant meeting the eligibility requirements set forth in these Official Rules may submit one or more Giveaway entries by following the process outlined below: (i) the Entrant’s Instagram account must follow Vivint’s official Instagram account (@Vivint); (ii) the Entrant must post at least one (1) comment on the Giveaway Kickoff Post from the Entrant’s Instagram account; and (iii) the Entrant must tag one (1) of the Entrant’s Instagram friends in each comment posted by the Entrant on the Giveaway Kickoff Post. Each entry that is submitted during the Entry Period and meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6, will constitute an “Eligible Entry.” Only Eligible Entries will be eligible to win a Prize.  Incomplete entries or those that, at the Sponsor’s sole discretion, do not adhere to the Official Rules will be disqualified. No purchase is necessary to win a Prize. Making a purchase will not improve an Entrant’s chance of winning.

Prizes

Sponsor will randomly select (5) winners of the Giveaway (each a “Winner”) by following the process set forth in Section 8 below. Each Winner will receive two (2) digital Utah Jazz basketball game tickets for Nov 9, 2021 against the Atlanta Hawks at Vivint Arena (each, a “Prize”). Winners must create a Ticketmaster account and download the Utah Jazz + Vivint Arena app on their smartphone or other connected device to receive their Prize. Winners must comply with all terms and conditions imposed by the Utah Jazz, Vivint Arena, and Ticketmaster regarding the use of the Prize, including the Ticketmaster Terms of Use and the Vivint Arena Health and Safety Entry Requirements and General Policies. Prizes are non-transferable. Each Winner shall be solely responsible for all expenses related to any Prize awarded to that person, including without limitation any and all local, state, and federal taxes. Winners shall not be entitled to a cash equivalent or other Prize substitution. In exchange for acceptance of a Prize each Winner grants permission for the Sponsor to use that person’s likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.

Odds

The total number of eligible entries received by Vivint will determine the odds of winning.

Selection of Winning Entry

At the conclusion of the Giveaway, the Sponsor will randomly select (5) Winners via the following process: (i) Sponsor will review all comments on the Giveaway Kickoff Post submitted during the Entry Period and create a pool consisting of all Eligible Entries. (ii) After creating the pool of Eligible Entries, Sponsor will assign each Eligible Entry a different, sequential number and use a random number generator to select winning Entries from the pool. (iii) Sponsor will review the randomly selected winning Entries and confirm that each Winner meets all requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6.

Notification and Announcement of Prize Winners

The Sponsor will notify each Winner via an Instagram Direct Message (“DM”) sent by Sponsor to the Instagram handle of the Winner within two days following the selection of that Winner. Each Winner must claim their Prize by replying to the DM with a message containing the Winner’s mailing address by no later than Nov 3, 2021 at 10:00 a.m. MDT. The Sponsor is not responsible for and shall have no liability for any Winner’s failure to receive any such notice due to the Winner’s failure to check their Instagram Direct Messages in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for any Winner’s provision of incorrect or otherwise non-functioning contact information. If any Winner (1) fails to claim a Prize by Nov 3, 2021 at 10:00 a.m. MDT, or (2) is found to be ineligible to win a Prize based on their age, state of residency, or any violation of these Official Rules as determined solely and exclusively by Sponsor, that Winner’s Prize may be forfeited and an alternate Winner may be selected. Receipt of the Prize by the Winner is conditioned upon the compliance by the Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. (iii) Sponsor will review the randomly selected Winning Entries and confirm in each case that the Winning Entrant meets all eligibility requirements specified in these Official Rules, including but not limited to the requirements set forth in Section 1, Section 4, and Section 6. If any of the 5 Winning Entrants selected by Sponsor does not meet each of the eligibility requirements set forth in these Official Rules, as determined at Sponsor’s sole discretion, then Sponsor will disqualify that Winning Entrant and reinitiate the eligibility verification process set forth in subpart (iii) of this Section 9, starting with Alternate 1, until Sponsor is able to find an Alternate entry where the Entrant meets all eligibility requirements set forth in these Official Rules, at which point that person will become a replacement Prize Winner.

Notification and Announcement of Prize Winners

The Sponsor will notify each Prize Winner via an email to their Vivint employee email address and/or via an Instagram Direct Message (“DM”) sent by Sponsor to the Instagram handle of that Prize Winner within two days following the selection of the Prize Winners. Each Prize Winner must claim their Prize by replying to the DM and/or email with a message confirming their Vivint Employee Badge ID Number. The Prize Winner’s response must be received no later than October 29, 2021 at 5 p.m. MDT. The Sponsor is not responsible for and shall have no liability for any Prize Winner’s failure to receive any such notice due to the Prize Winner’s failure to check their Vivint employee email inbox or Instagram DMs in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for that Prize Winner’s provision of incorrect or otherwise non-functioning contact information. If any Prize Winner (a) fails to claim a Prize by October 30, 2021 at 10:00 a.m. MDT, or (b) is found to be ineligible to win a Prize based on their current employment status at Vivint or any violation of these Official Rules as determined solely and exclusively by Sponsor, that Prize Winner’s Prize may be forfeited and an alternate Prize Winner may be selected. Receipt of the Prize by the Prize Winner is conditioned upon the compliance by the Prize Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. You represent and warrant that any content, including but not limited to Your name, photograph, and/or comment(s) on Vivint’s Selected Giveaway post (indicated in the Giveaway Kickoff Email), submitted by You to Vivint in connection with the Giveaway belongs to You and that You have the legal right to share it with Sponsor. All content submitted by You must belong to You and must not violate the privacy, proprietary or intellectual property rights of any third party, or any other law, code, or regulation. You shall defend, indemnify and hold harmless Sponsor in connection with any claims that arise as a result of Your submission of Your Giveaway entry (or entries), including but not limited to any claim(s) related to an allegation that any Giveaway entry submitted by You violates the privacy, proprietary or intellectual property rights of any third party, at Your sole expense.

Terms & Conditions

In its sole discretion, Sponsor reserves the right to modify, suspend, cancel, or terminate the Giveaway should non-authorized human intervention, a bug or virus, fraud, or other causes beyond Sponsor’s control, impact or corrupt the security, fairness, proper conduct, or administration of the Giveaway. Sponsor, in the event of any of the above issues, may determine the Prize Winners based on all eligible entries received prior to and/or after (if appropriate) one of the issues listed above, or may, at its option, cancel the Giveaway. Individuals who tamper with or attempt to tamper with the operation or entry process of the Giveaway or Vivint’s official Instagram page or otherwise violate these Official Rules will be disqualified by the Sponsor in its sole discretion. Sponsor has the right to void Giveaway submissions or entries for any reason, including, but not limited to: the use of bots, macros, scripts, or other technical means for submitting entries. Attempts by any entrant to deliberately damage any website or undermine the legitimate operation of the Giveaway may be a violation of criminal and civil laws. If any such attempt is made, the Sponsor reserves the right to seek damages to the fullest extent permitted by law.

Limitation of Liability and Release

Your entry into this Giveaway constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Giveaway and/or (1) any Prize Winner accepting, possessing, using, or misusing any awarded prize or any portion thereof; (2) any type of technical failure related to the Giveaway; (3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; (4) unauthorized intervention in any part of the entry process or the Giveaway; and/or (5) electronic error or human error in the administration of the Giveaway or the processing of entries. You also agree to release and hold harmless Instagram, its subsidiaries, representatives, affiliates, partners, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages related in any way to the Giveaway.

Compliance with the Law

The Giveaway is governed by the applicable laws of the United States of America and the local or state jurisdictions in which the Giveaway is eligible, which take precedence over any rule to the contrary herein. Sponsor reserves the right to modify or discontinue the Giveaway to the extent any part of the Giveaway is determined to violate any law, statute, ordinance, or regulation.

Disputes

The laws of the State of Utah, excluding the rules of conflicts of law, shall govern this and all matters arising out of or related to this Giveaway. All parties to this agreement, including both the Prize Winners and any non-winning Entrants, hereby submit to the jurisdiction of the state or federal courts located in Provo, Utah. Each party to these Official Rules expressly agrees that it is subject to the jurisdiction and venue of those courts for purposes of such litigation. Each party hereby waives and covenants not to assert any claim that is not subject to personal jurisdiction in those courts or that venue in those courts is for any reason improper, inconvenient, prejudicial or otherwise inappropriate (including, without limitation, any claim under the judicial doctrine of forum non conveniens).

Eligibility

Vivint, Inc. (“Sponsor”) will conduct the Vivint “Free Money Friday” Instagram Giveaway (the “Giveaway”) substantially as described in these Vivint “Free Money Friday” Instagram Official Rules (the “Official Rules”). By participating in the Giveaway, as outlined below, any participant (an “Entrant,” “You” or “Your”) agrees to be fully and unconditionally bound by these Official Rules. The Giveaway is open to legal residents of the United States who submit entries on Instagram, as detailed in Section 5 below. Entrants must be 18 years of age as of their date of entry in the Giveaway in order to qualify. Employees of Sponsor that are involved in any way in administering or overseeing the Giveaway are ineligible to win any Prize. Similarly, residents of Florida, New York, and Rhode Island are ineligible to win a Prize. The Giveaway is subject to federal, state, and local laws and regulations and is void where prohibited by law. Sponsor reserves the right to disqualify any Entrant at any time for any reason. Entrants must NOT comment with, link to, or submit to Sponsor any material that is violent, sexually explicit, obscene, pornographic, discriminatory (based on race, sex, religion, natural origin, physical disability, sexual orientation or age), illegal (e.g. underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, profane, or harassing or which is otherwise inappropriate or offensive.

Sponsorship

The Giveaway is sponsored by Sponsor, whose primary office is located at 4931 N. 300 W., Provo, UT 84604. Sponsor will conduct the Giveaway substantially as described in these Official Rules. By participating in the Giveaway, you acknowledge and understand that the Giveaway is in no way sponsored, endorsed, or administered by, or in any way associated with, Instagram.

Agreement to Rules

By entering this Giveaway, You agree to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. Sponsor reserves the right to refuse, withdraw, or disqualify any entry at any time at Sponsor’s sole discretion. By entering this Giveaway, You represent and warrant that You are eligible to participate based on the eligibility requirements set forth in these Official Rules. You also agree to accept the decisions of the Sponsor as final and binding as it relates to the winner(s) of the Giveaway. 

Giveaway Entry Period

Pursuant to these Official Rules, Sponsor will award four (4) total Prizes during the month of November, 2021. One (1) Prize will be awarded each Friday in November. Consequently there are four (4) discrete Giveaway Entry Periods. The first Entry Period will take place on November 5, 2021, beginning at 10:00 A.M. MDT and ending at 11:59 P.M. MDT.  The second Entry Period will take place on November 12, 2021, beginning at 10:00 A.M. MST and ending at 11:59 P.M. MST.  The third Entry Period will take place on November 19, 2021, beginning at 10:00 A.M. MST and ending at 11:59 P.M. MST.  The fourth Entry Period will take place on November 26, 2021, beginning at 10:00 A.M. MST and ending at 11:59 P.M. MST.  To be eligible for the Giveaway, all entries must be submitted and received within one of the the Entry Periods.

How to Enter

Each Entrant meeting the eligibility requirements set forth in these Official Rules may submit one or more Giveaway entries by doing the following: (i) the Entrant’s Instagram account must follow @Vivint on Instagram; and (ii) the Entrant must share Vivint’s Giveaway Post to the Entrant’s Instagram story. The Entrant’s Instagram handle need not be public to win the Giveaway. However, to ensure that Sponsor can find each Entrant to confirm their eligibility and potentially award a Prize, Entrants must not change their Instagram handle at any point between the beginning of the relevant Entry Period and the date the final Prize is awarded.  Each entry must fully meet all Giveaway requirements, as specified in these Official Rules, in order to be eligible to win a Prize. Incomplete entries or those that, at the Sponsor’s sole discretion, do not adhere to the Official Rules or specifications will be disqualified. No purchase is necessary to win a Prize. Making a purchase will not improve an Entrant’s chance of winning.

Prizes

Sponsor will select one (1) winner of the Giveaway (each a “Winner,” and collectively, the “Winners”) each Friday during November 2021. Four (4) total Winners will be selected. Each Winner will receive a $500.00 Visa Gift Card (each, a “Prize”). Prizes are non-transferable. Each Winner, upon acceptance of a Prize, is solely responsible for all expenses related to that Prize, including without limitation any and all local, state, and federal taxes. Winners shall not be entitled to transfer assignment of any Prize to another, nor shall any Winner be entitled to a cash equivalent or other Prize substitution. By accepting a Prize, each Winner grants permission for the Sponsor to use that Winner’s likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.

Odds

The total number of eligible entries received by Vivint will determine the odds of winning.

Selection and Notification of Winner

At the conclusion of each Entry Period, the Sponsor will randomly select one (1) Winner from the pool of eligible Entrants. The Sponsor will notify each Winner via an Instagram Direct Message (“DM”) sent by Sponsor to the Instagram handle of the Winner within 24 hours following the selection of the Winner. Each Winner must claim their Prize by replying to the DM with a message containing the Winner’s mailing address no later than 48 hours after receiving the DM. The Sponsor is not responsible for and shall have no  liability for any Winner’s failure to receive any such notice due to the Winner’s failure to check their Instagram DMs in a timely fashion, any social media privacy or “SPAM” filter settings that may cause messages or notifications to not be received, or for any Winner’s provision of incorrect or otherwise non-functioning contact information. If any Winner (1) fails to claim a Prize within 48 hours after receiving Sponsor’s award notification DM, or (2) is found to be ineligible to win a Prize based on their age, state of residency, or any violation of these Official Rules as determined solely and exclusively by Sponsor, that Winner’s Prize may be forfeited and an alternate Winner may be selected. Receipt of the Prize by the Winner is conditioned upon the compliance by Winner with these Official Rules, along with any and all federal, state, and local laws and regulations. IF ANY WINNER VIOLATES ANY OF THESE OFFICIAL RULES, OR ANY FEDERAL, STATE OR LOCAL LAW(S) OR REGULATION(S), THAT WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. No later than seven (7) days after the conclusion of the Giveaway, Sponsor will post a list of Winners on Vivint’s Giveaway Kickoff post.

Rights Granted by You

By submitting one or more Giveaway entries into this Giveaway, You understand and agree that the Sponsor, any individual acting on the Sponsor’s behalf, and the licensees, successors, and assigns of the Sponsor shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, Your submission, Your Instagram handle, Your name, Your photo, portrait, likeness, image, statements about the Giveaway, and biographical information provided by You for publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration to you. You represent and warrant that any content, including but not limited to Your name, photograph, and/or comment(s) on Vivint’s Giveaway Kickoff post, submitted by You to Vivint in connection with the Giveaway belongs to You and that You have the legal right to share it with Sponsor.
